Payment Plan Addendum
Nocturnal Studios Founder Programme

1. What this Addendum is
1.1 Relationship to the Membership Agreement. This Addendum forms part of, and is governed by, the Membership Agreement (Terms of Service) for the Nocturnal Studios Founder Programme, published at https://nocturnalstudios.app/legal (the "Membership Agreement"). Capitalised terms used here have the meanings given in clause 2 of the Membership Agreement and are not repeated.
1.2 When it applies. This Addendum applies only where your Order Confirmation states that you purchased your Founder Seat using the Payment Plan. If you paid in a single payment, this Addendum does not apply to you.
1.3 Precedence. Where this Addendum and the Membership Agreement conflict on the subject of installment payment, this Addendum prevails. On every other subject the Membership Agreement prevails. Clause 1.4 of the Membership Agreement (order of precedence) otherwise applies unchanged.
1.4 Seller. The seller under this Addendum is Caglar (Charly) Tekin, sole proprietor, Altmannstrasse 16, 9012 St. Gallen, Switzerland, trading as Nocturnal Studios ("we", "us", "Nocturnal Studios"). Contact: support@cyvril.com.
2. The Payment Plan
2.1 Structure. The Payment Plan splits the price of your Founder Seat into three equal monthly installments.
2.2 Same total as paying in one payment. The sum of the three installments is exactly the same as the one-time payment price for your ramp step. Choosing the Payment Plan does not increase what you pay.
2.3 Interest-free and fee-free. No interest, premium, surcharge, administration fee, convenience fee, processing fee, arrangement fee or any other charge of any kind is added for using the Payment Plan. There is no charge for paying early. The only amount you owe is the Founder Seat price stated in your Order Confirmation.
2.4 Schedule. Installment 1 is charged when you complete checkout. Installments 2 and 3 are charged automatically to the same payment method on the same day of each of the next two months. Your Order Confirmation states the three amounts and the three charge dates.
2.5 Final payment inside 90 days. The Payment Plan is scheduled so that the final installment falls due within 90 days of your purchase.
2.6 Authorisation. By selecting the Payment Plan you authorise us and our payment processor to charge installments 2 and 3 to your payment method on the scheduled dates without further action by you. You may be asked by your bank to re-authenticate a scheduled payment; clause 4.2 explains what happens if that fails.
2.7 Currency and taxes. Each installment is charged in the currency stated at checkout, including any tax we are required to collect, as described in clause 9 of the Membership Agreement.
2.8 Design intent of this plan. The Payment Plan is deliberately designed to be a short, interest-free, charge-free way of paying the same price, and it will not be changed away from that design. Specifically, and as a binding term of this Addendum: (a) there are exactly three equal installments; (b) every installment falls due, and the plan is completed in full, within 90 days of your purchase; (c) the plan carries no interest of any kind; (d) the plan carries no fee, premium, surcharge or charge of any kind, including on early repayment, late payment or a failed payment; and (e) the total you pay is identical to the one-time payment price for your ramp step. If we ever want to offer a longer or a chargeable plan, that will be a different product sold under different terms, not a variation of this one.
2.9 If this plan is treated as regulated credit. We do not present the Payment Plan as being outside any consumer-credit regime. If any court or authority treats this plan as regulated consumer credit, the member keeps every protection that classification grants, and this addendum is read to conform to it. In particular, any pre-contractual information, withdrawal period, default and forbearance rule, or other protection that the classification gives you applies in addition to this Addendum, and where it conflicts with this Addendum it prevails.
3. The full price remains owed
3.1 The Payment Plan is a way of paying, not a subscription. You are buying one Founder Seat. The Payment Plan is a method of paying the price of that Seat over three months. It is not a recurring subscription that you can stop at will, and cancelling the underlying billing arrangement with your bank or card issuer does not cancel what you owe.
3.2 Full balance owed. Once your purchase is made, the full purchase price of the Founder Seat stated in your Order Confirmation remains owed, whether or not you use the Programme, log in, attend sessions or generate anything.
3.3 Exceptions. Clause 3.2 is subject to:
- (a) your statutory withdrawal right under clause 11.4 of the Membership Agreement, if you are a consumer resident in the EU or the UK;
- (b) the universal 14-day cancellation right in clause 11.6 of the Membership Agreement, which is open to every consumer in every country and however the sale was concluded;
- (c) our discontinuation of the Programme under clause 6.3 of the Membership Agreement;
- (d) termination by us under clause 21.4 of the Membership Agreement, where the pro-rata refund is paid and installments not yet due are cancelled;
- (e) any mandatory rule of consumer law applicable to you.
3.4 Effect of cancellation on the schedule. If you cancel under clause 3.3(a) or (b), the remaining installments are cancelled immediately and every installment you have already paid is refunded in full, with no deduction for the period of access you have had. We do not apply the proportionate charge that clause 11.5 of the Membership Agreement would otherwise permit.
3.5 Paying early. You may pay the outstanding balance in full at any time at no cost. Ask us at support@cyvril.com and we will send you a link for the remaining amount and cancel the remaining scheduled charges.
3.6 Cancelling inside the 14-day window. If you cancel within the 14-day refund window, the Payment Plan is cancelled, no further installment is charged, and every installment you have already paid is refunded in full.
4. If a payment does not go through
We would much rather fix a failed payment than lose a Member over it. The ladder below is the process we follow, and it is the process we are contractually bound to follow before we suspend anything.
4.1 Step 0: automatic retries (days 0 to 7). If a scheduled installment fails, our payment processor automatically retries it over the following days using its standard retry logic. We also email you at the address on your account to tell you the payment failed and how to fix it.
4.2 Re-authentication. Some failures are not about funds. European cards in particular are sometimes challenged by the issuer for a scheduled charge. If that happens, our email will contain a link that lets you approve the payment directly. This is the most common failure and it is usually resolved in a minute.
4.3 Step 1: day 7 notice. If the installment is still unpaid seven days after its due date, we send you a written notice by email stating the amount outstanding, the due date it relates to, how to pay, and the date on which access will be suspended if it remains unpaid.
4.4 Step 2: day 14 suspension. If the installment is still unpaid fourteen days after its due date, we suspend your access to the Community, the Course Content and the Software. During suspension your account, your stored Outputs and your place in the Programme are preserved. We restore access promptly, and in any event within one business day, once the outstanding amount is paid.
4.5 Step 3: day 30, ending the plan. If the installment is still unpaid thirty days after its due date, we do not accelerate the debt: we will never declare the remaining balance immediately due and payable because an installment was missed. Instead, on written notice, we may either:
- (a) keep access closed: leave the suspension in clause 4.4 in place until payment resumes, with your account, your stored Outputs and your place in the Programme preserved, and restore everything as soon as you pay; or
- (b) end the Membership: terminate this Addendum and the Membership, cancel every installment not yet due, and refund what you have already paid less the value of what has already been delivered to you, calculated on a straight-line pro-rata basis against the 36-month Minimum Term in clause 6.2 of the Membership Agreement. We will show you that calculation in the notice.
4.6 No collections agency. We will not refer a Founder Programme balance to a debt collection agency. If we cannot resolve an unpaid balance through the steps above we will cancel under clause 4.5(b) and treat the matter as closed.
4.7 Late payment charges. We do not charge default interest, late fees or administration charges on a missed installment. Where our payment processor passes on a fee for a failed or reversed payment, we absorb it.
4.8 Notice and grace before anything happens. We will not suspend under clause 4.4 or act under clause 4.5 without first giving you the written notice in clause 4.3 and a further period of at least 14 days to pay after that notice. Where the law that applies to you requires a longer notice period, a formal reminder or an additional grace period before a step of this kind, that requirement applies on top of this clause and we will follow it. Nothing in clause 4 limits any statutory default or forbearance protection you have.
4.9 Talk to us. If you know in advance that an installment will fail, email support@cyvril.com before the due date. We will move the date or restructure the remaining schedule where we reasonably can, at no cost. We would rather do that than run the ladder.
5. Access during the plan
5.1 Full access from day one. You receive full Programme access from the moment installment 1 is paid. Access is not staged or throttled while installments remain outstanding, except under the suspension in clause 4.4.
5.2 Founder entitlements. Your ramp price, your Founder Credit price lock under clause 8.5 of the Membership Agreement, your first included Credit Plan month, and the Founder entitlements named in your Order Confirmation are identical whether you pay in one payment or under the Payment Plan.
5.3 Suspension is not termination. A suspension under clause 4.4 does not end your Membership or your Founder entitlements, and it does not restart the Minimum Term in clause 6.2 of the Membership Agreement.
6. Changing your payment method
6.1 You can update your payment method at any time through the link in any billing email from us, or by asking us at support@cyvril.com.
6.2 You are responsible for making sure the payment method on file is valid on each due date. An expired card is a failed payment and runs the ladder in clause 4.
7. Records and receipts
7.1 We issue a receipt for each installment to the email address on your account.
7.2 We keep a record of your acceptance of the Membership Agreement and this Addendum at checkout, including its timestamp, as held by our payment processor. We use that record to handle billing questions and payment disputes.
8. Chargebacks
8.1 Clause 11.7 of the Membership Agreement applies to installments. If an installment looks wrong to you, contact us at support@cyvril.com first. We will look at it, and where we agree it is wrong we refund it promptly.
8.2 Raising a chargeback on an installment instead of contacting us is a material breach and we may suspend access while the dispute is open. Where the dispute is resolved in our favour the amount remains owed and the ladder in clause 4 continues from where it paused.
9. General
9.1 Governing law, venue and mandatory consumer law. Clause 24 of the Membership Agreement applies to this Addendum in full, including the statement that mandatory consumer protection law of the Member's country of residence remains unaffected.
9.2 Severability, notices, assignment, changes. Clause 22 of the Membership Agreement applies to this Addendum. We will not use the change mechanism in clause 22.2 of the Membership Agreement to increase the total price of a Payment Plan already in progress, to add a charge to it, or to shorten the notice periods in clause 4 of this Addendum for a plan already in progress.
