Contact by email is the fastest route, it is monitored, and every message is answered by a person, normally within 2 working days. A postal address is given above for formal notices. If you would rather speak on the telephone, ask by email and we will call you back at a time you choose, at our cost.
2. Commercial register and VAT
2.1 Commercial register (Handelsregister): the business is a sole proprietorship (Einzelunternehmen) of Caglar (Charly) Tekin and is not entered in the commercial register. A Swiss sole proprietorship must register only once its annual turnover reaches CHF 100,000; below that, registration is voluntary. Registration becomes mandatory at that threshold and will be completed when it is reached, and this section will then state the registered name and number.
2.2 VAT (MWST): the business is not currently registered for Swiss VAT. Swiss VAT registration is required once worldwide turnover from taxable supplies reaches CHF 100,000, and will be completed when that threshold is reached. Until then no Swiss VAT is charged and none is shown on invoices.
2.3 EU and UK VAT: registrations for sales into the European Union and the United Kingdom are handled before the first sale into those markets, and the corresponding numbers are stated here once assigned.
2.4 UID / IDE: none assigned, as no register entry or VAT registration exists.
3. Nature of the offer
3.1 Nocturnal Studios is a private, invite-based creator membership. It provides course material, community access, and access to the Provider's web applications for AI-assisted image, video, and music-video creation (the "Software") during pre-public testing.
3.2 The Software is in pre-public testing and is provided as described in the Beta Software Terms and Credits / Fair-Use Policy (document 06).
3.3 This offer is not addressed to residents of Germany. Memberships are not sold to persons resident in Germany. If a purchase is nevertheless completed by a person resident in Germany, we treat the contract as not concluded, end access, and refund the full amount paid on our own initiative, without a request and without any deduction.
4. Contract formation and terms
4.1 Contracts are concluded electronically. The applicable terms are the Membership Agreement / Terms of Service at https://nocturnalstudios.app/legal, together with the Refund, Cancellation and Withdrawal Policy, the Privacy Policy, the Community Guidelines, and the Beta Software Terms and Credits / Fair-Use Policy.
4.2 Acceptance of the terms is recorded at checkout. The contract text and the order confirmation are sent to the buyer by email and should be retained by the buyer.
4.3 Payment is processed by Stripe. The Provider does not receive or store full card details.
5. Price transparency (Swiss UWG and PBV)
5.1 Prices are stated in US dollars (USD) as the total price actually payable by the buyer, including any Swiss VAT where the Provider is VAT-registered and the supply is taxable in Switzerland. Where the supply is taxable in the buyer's own country (EU, UK, and other jurisdictions), the applicable local VAT is stated separately at checkout before payment.
5.2 Any payment-plan option shows the amount of each installment, the number of installments, and the total amount payable. No surcharge is applied for paying in installments.
5.3 Where a comparison price, a former price, or a future public price is shown next to a founder price, that comparison price is a genuine price and is described accurately, as required by the Preisbekanntgabeverordnung (PBV) and Art. 3 UWG.
5.4 The Provider does not make earnings or income claims. Any results shown are individual experiences and are not a promise of a comparable outcome. See the Earnings and Results Disclaimer (document 05).
5.5 Our commitment on price display. All prices are shown to consumers as total prices, including any applicable VAT, so that the figure you see is the figure you pay. Any comparison price or future price shown next to a founder price reflects a genuine price we actually intend to charge, is labelled as what it is, and is never a figure invented to make a discount look larger. If we decide not to charge a price we have advertised as our future price, we stop showing it.
6. Data protection
Personal data is processed as described in the Privacy Policy (document 03), which also names the Provider's representative in the European Economic Area under Art. 27 GDPR, [EU-REP-NAME].
7. Liability for content and links
7.1 The Provider prepares the content of this website with care but gives no warranty as to its accuracy, completeness, or timeliness.
7.2 This website may contain links to third-party websites. The Provider has no control over their content and accepts no responsibility for it. Responsibility lies with the operator of the linked site.
7.3 Limitations of liability in respect of the Software are set out in the Beta Software Terms (document 06), clause 11. Nothing in this notice excludes liability that cannot lawfully be excluded, and mandatory consumer rights in the buyer's country of residence are unaffected.
8. Copyright
All content on this website and in the membership (text, images, video, audio, course material, software, and design) is protected by copyright and belongs to the Provider or its licensors. Reproduction, distribution, or resale outside the rights granted in the Membership Agreement requires the Provider's prior written consent.
9. Applicable law and place of jurisdiction
9.1 Swiss law applies, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods.
9.2 The place of jurisdiction is St. Gallen, Switzerland.
9.3 This does not deprive a consumer of the protection of the mandatory provisions of the law of their country of habitual residence.
